Sell-Side Deal Preparation

Go to market with numbers that survive diligence.

Most value is lost in diligence, not in the offer. We prepare the financial side of your sale before buyers arrive: clean books, defended add-backs, a working capital peg you can support and a data room that answers questions before they are asked.

Questions

Frequently asked

How early should I start?

Twelve to twenty four months before a sale is ideal. That allows at least one clean year of accrual financials and time to address customer concentration or margin issues.

What is a working capital peg?

It is the normal level of working capital the buyer expects to be delivered at close. If actual working capital is below the peg, the price usually goes down dollar for dollar. Setting it early protects the seller.

How do SBA lenders size debt on my deal?

Lenders look at debt service coverage, generally wanting adjusted cash flow comfortably above annual debt payments. Higher rates reduce what a buyer can borrow, which affects price. We model this before you set expectations.
